These Terms of Use ("Terms") constitute a legally binding agreement between you or your company ("Client", "you") and FUTURIO PLAYSOFT LTD, a limited liability company registered in the Republic of Cyprus ("Futurio", "we", "our", or "us"), regarding the use of our website, services, and software solutions.
By accessing or using any part of our website or Services, or by entering into a business relationship with us, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

Definitions
- "Client" means any business, company, or authorized representative of a legal entity who enters into an agreement with Futurio.
- "Services" refers to software reselling, license management, customer onboarding, account services, and related technical or commercial support.
- "Software" means any third-party gaming software, tools, or platforms sold, distributed, or licensed by us under a commercial agreement.
- "Vendor" refers to the original software creators, developers, or suppliers with whom we hold distribution or reseller agreements.
Nature of Services
Futurio operates as a business-to-business distributor and reseller of licensed gaming software. Our core services include:
- Supplying software licenses for gaming-related tools and platforms.
- Acting as an intermediary between Clients and third-party Vendors.
- Providing technical and administrative support related to the license lifecycle.
- Assisting Clients in onboarding and software integration.
By accessing our Services, you represent and warrant that:
- You are authorized to act on behalf of a legally registered company or business.
- All information provided to us is current, accurate, and complete.
- You are not acting as a private individual or consumer.
Orders and Licensing
License Activation
All licenses sold by Futurio are issued in accordance with the terms and timelines set by the original Vendor. Activation may require:
- End-user identification
- Domain verification
- API or system integration steps
Order Process
Orders may be placed via:
- Direct communication (email, account manager)
- Web portals (if available)
- Written purchase orders
All orders are subject to acceptance and availability. No binding agreement exists until confirmed in writing or via invoice.
License Terms
Use of the Software is governed by the end-user license agreement (EULA) or terms of service of the respective Vendor. Clients are fully responsible for:
- Reading and accepting third-party license terms
- Ensuring end-users comply with all applicable restrictions
Futurio shall not be liable for any breaches of Vendor license terms by the Client or its affiliates.
Pricing and Payment
Invoicing
Invoices will be issued upon order confirmation or delivery of Services. Payment terms are [e.g. 14 calendar days from date of invoice], unless otherwise agreed in writing.
Late Payment
Failure to pay on time may result in:
- Suspension of Services or license access
- Late payment interest (e.g. 1.5% per month or the maximum allowed by Cyprus law)
- Recovery costs, including legal fees
Client Obligations
The Client agrees to:
- Use the Software only for authorized business purposes
- Not sell, sublicense, or otherwise distribute the Software unless permitted
- Not attempt to reverse-engineer or decompile the Software
- Provide accurate and complete information during onboarding
- Notify Futurio immediately of unauthorized access or misuse
Intellectual Property
All intellectual property rights in the Software remain the property of the respective Vendors. Futurio retains all rights, title, and interest in:
- Its brand name, logo, and proprietary materials
- The structure and format of its own Services and communications
Nothing in these Terms transfers any intellectual property rights to the Client, except as licensed.
Confidentiality
Both parties agree to:
- Treat all non-public business, technical, and commercial information received as confidential.
- Not disclose confidential information to third parties without prior written consent.
- Take reasonable steps to protect the confidentiality of shared information.
This obligation shall survive the termination of the business relationship for a period of five (5) years.
Legal Compliance
Futurio complies with all applicable data protection laws, including:
- EU General Data Protection Regulation (GDPR)
- Cyprus Data Protection Law (L.125(I)/2018)
Data Use
We may collect and process business contact data, IP addresses, order records, and communication logs strictly for the purpose of:
- Service provision
- Invoicing and account management
- Regulatory compliance

Third-Party Processing
We may share necessary data with:
- Software Vendors (for license registration)
- Payment processors
- IT infrastructure providers
All data processors are contractually bound by confidentiality and security obligations.
Limitation of Liability
- Futurio shall not be liable for any indirect, incidental, or consequential losses (e.g. business interruption, lost revenue).
- Our total liability for any claim shall not exceed the total fees paid by you to Futurio in the three (3) months preceding the event giving rise to the claim.
Nothing in these Terms limits liability for fraud or gross negligence.
Term and Termination
Duration
These Terms apply for as long as you use our Services or hold an active business relationship with us.
Termination by Either Party
Either party may terminate the relationship:
- With 30 days' written notice
- Immediately, in the event of a material breach
Post-Termination
Termination does not affect:
- Any licenses already issued (subject to Vendor terms)
- Obligations accrued before the termination
- Confidentiality and IP provisions
Force Majeure
We are not liable for failure to perform due to events beyond our reasonable control, including:
- Acts of God
- War, riots, or terrorism
- Epidemics or pandemics
- Government restrictions
- Internet or power outages
Governing Law and Jurisdiction
These Terms shall be governed by and interpreted under the laws of the Republic of Cyprus, without regard to conflict of laws. Any disputes shall be subject to the exclusive jurisdiction of the District Court of Nicosia, Cyprus, unless otherwise agreed in writing.
Amendments
We reserve the right to amend these Terms at any time. Material changes will be communicated via email or website notice. Continued use of Services after such updates constitutes acceptance.
